GenUI Labs — Terms of Service

1. Services & Engagements

Project-specific terms (scope, timeline, fees, IP, support) are set in your signed agreement(s). Any change in scope requires a signed Change Order.

2. Payments

Invoices are issued through QuickBooks (card/ACH; PayPal/Venmo available; third-party financing via Affirm/Klarna may be offered through supported processors). You agree to pay invoices by the stated due date. Late amounts may accrue a 1.5% monthly finance charge or the maximum permitted by law. Pass-through third-party costs (e.g., hosting, APIs) are your responsibility as specified in your agreement.

3. Third-Party Services & Financing

Your use of third-party services (e.g., domain registrars, APIs, BNPL/financing like Affirm/Klarna, PayPal Pay Later) is governed by those providers' terms and privacy policies. We are not responsible for third-party services and do not control their performance, fees, or availability. If you finance fees through a BNPL provider, your payment relationship is solely with that provider.

4. Client Materials & Acceptable Use

You represent that you have all rights to the content you provide and that it does not violate law or third-party rights. You will not use the Site or our services to transmit malware, spam, or illegal content, or to attempt unauthorized access to systems.

5. Intellectual Property

Subject to full and final payment and as detailed in your agreement, you receive ownership of the finalized deliverables. We may use non-confidential project visuals in our portfolio. We may incorporate third-party/open-source software under their respective licenses.

6. Confidentiality

We will treat your non-public information as confidential and use it only to provide services, as further described in your agreement.

7. Warranties & Disclaimers

We will provide services in a professional manner consistent with industry standards. EXCEPT AS EXPRESSLY STATED, THE SITE AND SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Site or deliverables will be uninterrupted or error-free.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE OR SERVICES IS LIMITED TO THE FEES YOU PAID TO US FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE EVENT.

9. Indemnification

You will defend, indemnify, and hold GenUI Labs and its members harmless from claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from (a) your content or instructions; (b) your breach of these Terms or applicable law; or (c) your use of third-party services.

10. Support & Maintenance

Any support/maintenance is provided as described in your signed agreement or active subscription plan and is separate from general Site use.

11. Termination

We may suspend or terminate Site access for violations of these Terms. Project termination is governed by your signed agreement.

12. Dispute Resolution; Governing Law

These Terms are governed by Indiana law, without regard to conflict-of-laws rules. Venue for disputes is exclusively the state or federal courts located in Vanderburgh County, Indiana. You consent to personal jurisdiction there.

13. Changes to the Terms

We may update these Terms from time to time. The “Effective date” above reflects the latest version. Continued use of the Site after changes means you accept the updated Terms.
